Blue-Ray DVD Media Manufacturing Business in China

Introduction of the Project
Fortuno Doro Corporation, USA (“FDC”) proposes to supply our partner and its affiliated companies with Blue-Ray Digital Versatile Disc Recordable (“BD-R”) and Blue-Ray DVD Rewritable (“BD-RE”) Discs manufacturing equipment, plant engineering services, DVD manufacturing process technology transfer, a non-exclusive DVD process technology license from FDC and comprehensive project management, training and engineering consulting services. The goal of the project is to the organize and establish an efficient Optical Disc manufacturing business and manufacturing facility capable of production of high quality DVD media in the People’s Republic of China (“PRC”). This is only a project proposal, not a detailed Business Plan, which will be included as part of our service.
Note: Even though the next-generation High Definition DVD market still has two competing formats (Blue-Ray vs. HD-DVD), current market seems to indicate that Blue-Ray is winning the format war. Therefore, we are focusing the proposal on Blue-Ray technology only; however, the equipment we provide can be easily adapted to produce HD-DVD as well, if the market demand is there.
Self-through of DVD produced in the plant
FDC proposes to provide professional marketing and sales services to our partners. With our established sales, marketing and distribution resources at our disposal, FDC can help our partners sell the DVDs produced by the business in the media markets of USA and other growing media markets in the world.
Project Start-up
Upon agreement on the Fee, capital funding of the project, signing of a project Agreement with FDC and remittance of the Irrevocable Letter of Credit (ILC) by our partner, the proposed work on the establishment of the Blue-Ray DVD manufacturing business would commence. FDC estimates that planning, training and business organization will take 4 months, the manufacturing facility will take 7 months to establish and the business can commence independent operations approximately 8 months after signing the project agreement with FDC providing capital allocation and spending and the arrangement of existing capital assets and human resources proceed according to FDC’s plans and directions.
General Project Proposal
FDC proposed to supply our partner the following list of services leading to the establishment of a profitable Blue-Ray DVD media manufacturing business.
Business Planning and Organization
Prior to our partner’s commitment FDC will provide:
A current independently prepared Blue-Ray DVD industry market study and
Operational financial model of the Blue-Ray DVD manufacturing business
Training
FDC will assist our partner in recruiting qualified individuals to work in the Blue-Ray DVD manufacturing business. FDC will fully train our partner’s employees, as required, in the skills needed for Blue-Ray DVD manufacturing.
Manufacturing Facility
FDC’s work for our partner would comprise the engineering, designing, equipping and outfitting, staffing, start-up, commissioning and initial operation of the high volume Blue-Ray DVD manufacturing plant. These services shall include:
Managing and facilitating all technology adaptations, licensing and transfers that may be required, providing technological and logistical assistance to our partner for the work they must do to successfully implement the start-up, assisting with technical staff selection and recruitment as required, and
Staff training, plant design, engineering and commissioning for the media, which meets or exceed the quality of commercially available media produced by the world’s leading manufacturers of Blue-Ray DVD.

The services and other deliverables FDC will supply for the establishment of the facility will include, but will not be limited to:
Planning and supervision of the creation of an automated BD-R and BD-RE Plant utilizes the latest production equipment and capable of running 3 shifts, 7 days per week.
Preparation of layouts and construction drawings to assist FDC architects and contractors in building up of all departments including, but not limited to, those to be established for cleaning and checking of electroformed stampers, for disc replication, raw material drying and conveying, finishing, packaging, mask cleaning, quality control and production control.
Pollution control engineering, waste disposal procedures and safety engineering to meet local requirements.
Specification and selection of all the primary in-line and secondary processing equipment and off-line quality control equipment for the Blue-Ray DVD plant that are capable of sustaining the manufacturing efficiency and product quality needed for our partner to be competitive in the world market. This will include providing technical/physical specification of the Blue-Ray DVD equipment modifications required by FDC for the successful completion of the project such as specifications for the integration of the molding system with the sputter coating system and the clear coating system as well as specifications for the PC drying system, QA/QC systems, etc.
Assisting our partner in sourcing of all relevant raw material such as polycarbonate, special DVD targets, special top coating materials, inks, packaging supplies and other supply items needed to commence the manufacture of high quality Blue-Ray DVDs.
Supervision and coordination of the manufacture, vendor testing, and final installation and commissioning of all major capital equipment order by our partner.
Specification of the fully functional Blue-Ray DVD technology for use by FDC in the manufacture of Recordable Blue-Ray DVDs, and
Assisting our partner with the start of its preliminary manufacturing runs of Blue-Ray DVDs required to test and to qualify the replication equipment modules and the off-line quality control devices after they have been properly installed.
Sales and marketing in the USA, Eastern and Western Europe and other Key Media Markets.
FDC will, through our own sales and marketing personnel as well as our established sales and distribution channels, facilitate the sale of our partner’s products throughout the world.

Applicable Quality Standards
Fortuno Doro Corporation’s services in this regard are backed by a written plant yield guarantee. The guarantee requires our certification of the plant output to average contract-prescribed yield levels of 85% for Blue-Ray DVD’s for 30 consecutive workdays.
The optical-electronic and physical quality criteria used in the yield certification of the plant will be:
Standard Philips-Sony Reference Books and A Benchmark Quality Standard (“BQS”) based on objective, statistical comparisons to the quality of media produced and sold in the market by the competitors such as TDK, Hitachi, Verbatim, and others.
Joint Venture Summary
China Partner will be investing the whole amount described above in exchange for 70% shares of the joint venture company, to be formed for the purpose of manufacturing and selling Blue-Ray discs.
FDC and its team of professional managers will be responsible for building the manufacturing operation and the continuation of business operation and sales activities, in exchange for 30% shares of the company as managing partner.
Summary of the Proposal
The proposed project duties of FDC comprise all the management, technology transfers, consultation, equipment and product sales relationships required for our partner to fully establish an efficiently operating, profitable China-based Blue-Ray DVD Recordable media manufacturing business. This proposal describes an intensive 6 to 9-month program for the full development of an efficient, profitable Blue-Ray DVD manufacturing business. These services will lead to an economically sound and technologically superior position for our partner in the field of independent Blue-Ray DVD manufacturers.
Earnest Security Deposit
A sum of US$60,000.00 is required when commencing project consultation. This fund is refundable after purchase contract is signed. The security deposit will be stored at an independent escrow account and a separate deposit agreement will be executed to protect the interests of both parties.
Expiration
This proposal expires on July 31, 2007.

納米技術是90年代初迅速發展起來的新的前沿科研領域。它是指在1-100 納米尺度空間內, 研究電子、原子和分子的運動規律、特性和應用的高新技術學科。納米科技的終級目標, ,是按人的意願操縱單個原子、分子構建納米級的具有一定功能的器件或產品。顯然納米科技不等於納米材料學, 它包括納米生物學、納米電子學、納米機械學,當然也包括納米材料學,是多學科交叉研究的新領域。
藍光（Blu－ray）或稱藍光碟（Blu－ray Disc，縮寫為BD）利用波長較短（405nm）的藍色鐳射讀取和寫入資料，並因此而得名。而傳統DVD需要光頭發出紅色鐳射（波長為650nm）來讀取或寫入資料，通常來說波長越短的鐳射，能夠在單位面積上記錄或讀取更多的資訊。因此，藍光極大地提高了光碟的存儲容量，對於光存儲產品來說，藍光提供了一個跳躍式發展的機會。
在技術上，藍光燒錄機系統可以相容此前出現的各種光碟產品。藍光產品的巨大容量為高清電影、遊戲和大容量資料存儲帶來了可能和方便。將在很大程度上促進高清娛樂的發展。目前，藍光技術也得到了世界上170多家大的遊戲公司、電影公司、消費電子和家用電腦製造商的支持。八家主要電影公司中的七家：迪士尼、福克斯、派拉蒙、華納、索尼、米高梅、 獅子門的支持。到今年年底，蓝光影片的数量将达到1000个以上，游戏等软件也将达到200个。

(3)市場分析
藍色鐳射DVD光碟最大的優勢就在於存儲容量的“飛躍”，由於其採用的是藍色鐳射技術，而藍色鐳射的波長較短，因此可以對光碟進行高密度記錄與讀取。藍光標準可使單層碟片的存儲容量達到25GB，雙層碟片的存儲容量則達到50GB以上。而當前DVD碟片的單層容量為4.7GB，雙層容量為8.5G。
藍色鐳射DVD光碟容量極大，在現代高科技工程設計、航天工程設計等大容量的設計中，藍色鐳射DVD光碟是不可缺少的存儲載體。不僅政府、科研機構、軍事機關、公共機關、企業和個人需要，而且作為大容量的媒介中間體，對于網絡、電臺、電視臺、電影、電視劇等現代傳媒產業也是必不可少的。比如，好萊塢方面對影片品質提出的9項最新要求，畫面應達到20M比特／秒的1920×1080圖元圖像的HDTV格式，這些都是現有的紅光DVD所不能滿足的，這將加速紅光陣營的衰落。
目前需求市場以歐美為主，北美和歐洲的需求量占世界需求量的83%，日本占11%。根據上述背景，預計2008年BDVD的世界需求總量約為41億片。目前，藍色鐳射DVD尚沒在中國推廣（藍色激光DVD驅動器剛在香港展覽），因此中國及其它地區的普及將成為維持未來需求增長的重要因素。也就是說藍色鐳射DVD的需求高峰尚沒有到來。
美國市場和歐洲市場有明顯的不同，美國市場的特點是由政府及公共機
關推行電子化而擴大了對藍色鐳射DVD光碟的需求；而歐洲市場則是以年輕人的個人化需求為主體。所以，二者的用戶層不同，即美國的用戶以政府、公共機關和企業這種“集團”為特徵；歐洲用戶則以個人為特徵。
由於新藍色鐳射光碟有很大的容量, 短期內不需要新的DVD 格式上市, Philips 及 Sony 普遍認為其商機生命最少有 15 年遠景。
由於在中國生產成本低，因此美國願意在中國生產藍色鐳射光碟。又由於市場需求量頗大，因此計劃在中國尋找10個藍色鐳射光碟生產廠，即使這樣也遠遠不能滿足我們所供應的五大跨國公司對藍色鐳射光碟的需求。
(4)效益分析
一個廠的年產量為2300萬片。每5秒種生產一張碟，三班倒。
每張碟5美元，每張碟初期成本1.5美元（生產穩定後，成本還會降
低）。
年毛利80,500,000.00美元（合人民幣6億元）。因合資合作企業稅收免二減三，所以，正式生產後9個月收回全部投資。

2、生產用廠房面積按美方提供的數位為2200㎡依照對生產車間恒溫、無塵的要求，這樣車間必須有外環廊，其面積大致為450㎡。
所以,廠房實際面積：2200㎡+450㎡=2650㎡廠房建築結構為框架結構，內環廊為彩鋼板，其整體綜合（基建＋裝修＋設備）造價3000元/㎡
3000元×2650=795萬元
3、為保障產品的品質，對生產車間的溫度、無塵都有嚴格的要求。對於溫度要求18℃（冬季）。夏季為25℃。這些條件較易解決，較為有難度的是對無塵的要求，相對費用又高出許多。
對微塵的控制，按照目前我國規定標準等級分為：（見下頁表）

一、提示：
藍色鐳射光碟現在只有幾個發達的國家可以生產。目前中國尚無能力生產藍色鐳射光碟。由于高科技項目發展異常迅速，故涉及的資料不斷變化，需要不斷調整。以上資料不是最後的結論。
二、上述預算是本著寬打窄算的原則作出的。但是盡可能地把誤差控制在20％以內。
